SALES AND DELIVERY TERMS - January 2023

1. IN GENERAL

The present general sales conditions govern the contractual relationship resulting from the acceptance by Flavors4you srl (hereinafter "F4Y"), manufacturer and distributor of the Blendfeel brand, with registered office in Seveso (MB) via Don Luigi Sturzo 21/23, CF 12044560964, P. IVA IT12044560964, tax deposit MBPLI0010, mail address amministrazione@flavors4you.com of the customer's purchase proposal/order and replace any other agreement reached between the parties, except for what may be agreed in writing and with express reference to these general conditions of sale, derogating its content, such different agreement must be on F4Y's letterhead duly signed by a legal representative of the same. F4Y reserves, however, the right to modify, from time to time, at its sole discretion, its general conditions of sale. The most up-to-date version of these terms and conditions of sale shall in any case be published on the https://Blendfeel.com website. The customer is therefore obliged to check and accept the text of the general conditions of sale in force, which will be applicable to the contract with F4Y in the event of purchase, when sending the proposal/purchase order. A purchase is understood to be the sending of the order through the procedure of the website https://blendfeel.com.

All the descriptions and illustrations contained in the commercial documentation of F4Y have the sole purpose of providing the customer with a general idea of the products or articles and shall not constitute part of the contract between F4Y and the customer. The bottles indicate on the label a quantity of liquid contained expressed in ml. This quantity is to be understood as a nominal value, the amount of liquid actually contained may be subject to slight variations, over or under, which are generally contained within 5.0%.

No consumption tax is levied on persons having their tax domicile in other countries.

All sales are final. We do not accept returns except as expressly stated in the paragraph on the right of withdrawal.

2. PRICES

The prices quoted on the website https://Blendfeel.com are inclusive of VAT, except for prices quoted for professionals, which are exclusive of statutory VAT. Prices for foreign intra-EU customers will take VIES subjects into account. Prices exclude shipping costs (where applicable). The VAT rate in force on the invoice date will be applied, consumer tax and related VAT in compliance with the provisions of the law in force in Italy will not be applied in sales to subjets not fiscally domiciled in Italy.

The prices indicated in the price lists and on the website https://Blendfeel.com are subject to change. The prices indicated on the website https:/blendfeel.com always take precedence over those indicated in the price lists.

Where prices are not expressly indicated or in the case of supplies relating to items not included in the Catalogue, prices must be specifically agreed upon and confirmed in writing by F4Y before the product is shipped.

3. PURCHASE ORDERS AND VARIATIONS, GUARANTEE SEALS

Purchase orders placed on https://Blendfeel.com may only be sent by the customer via the computer structure of the website itself.

Once they have been received, it will no longer be possible to change them due to the problems of managing the tax deposit. Additional variations will be considered to all intents and purposes as a new order, decreasing variations will not be admitted, without prejudice to the right to return of non-conforming goods to be carried out at the sole expense of the customer.

The packaging of the products and their inclusion in the tax warehouse is carried out with reference to each individual order. The return or cancellation of an order in the preparation phase due to facts attributable exclusively to the Customer entails for F4Y activities such as the destruction of the packaging, the reinsertion on the shelf and the management of the reinsertion in the tax warehouse. These activities involve a total cost of 1,00 €/flask that will be charged to the Customer.

4. DELIVERIES

In addition to the sale price of the products, the Customer will pay F4Y a fee for the handling of the shipment of the order, this fee is indicated on the website at the time the order is concluded. The Customer has the right to request shipping insurance by specifying it in the order notes, following this request F4Y will indicate the relative cost to the Customer.

All of the above unless a different delivery service is specifically requested by the customer and agreed with F4Y. The Customer may, in fact, request to collect the goods with its own courier. All orders with payment confirmed by 12:00 noon will be shipped from our warehouse generally within the next 24 hours unless otherwise specifically agreed.

Delivery times in Italy are as follows:
Generally, within 24 hours from the sending of the invoice with the exception of Sardinia, Apulia, Basilicata, Calabria and Sicily, where they will be at least 48 hours.
Unrest and disruptions in the operation of couriers that may affect delivery delays are not attributable to our service, which ends with the delivery of the goods at our warehouse

Outline of shipping costs:

ZONE 1: Austria, Belgium, Bosnia and Herzegovina, France, Germany, Luxembourg, the Netherlands, San Marino, Spain, Ukraine.

ZONE 2: Albania, Croatia, Czech Republic, Denmark, Finland, Gibraltar, Greece, Hungary, Ireland, Poland, Portugal, Serbia, Slovakia, Slovenia, Sweden.

ZONE 3: Andorra, Bulgaria, Cyprus, Estonia, Latvia, Liechtenstein, Lithuania, Malta, Norway, Romania, Turkey, United Kingdom.

*The possible weight displayed during the procedure of insertion in the cart is to be considered indicative: the correct amount of the load, and of the relative shipment, will be promptly communicated by Flavors4you srl administration before the invoicing of the order.

F4Y reserves the right to modify the cost of transport once the destination and the weight have been verified, notifying the Customer before the departure of the shipment, who must authorize the same.

For particularly heavy and/or voluminous shipments, F4Y reserves the possibility to organize the delivery by pallet, with an additional cost of 10.00 €, previously agreed with the Customer.

Telephone notice - Delivery by appointment: when selecting the shipping/collection method (point 3) it will be possible to select the option "Express courier with telephone notice". This service, with an extra charge of €4.50 excluding VAT compared to standard shipping, requires the carrier to call you to arrange an appointment at a date and time that suits you best. It is essential that the address is correct in order to be able to follow up the contact, as other forms of communication such as e-mail, fax or text message are not possible.

Unions unrest and inefficiencies in the operation of couriers that may affect delivery delays are not attributable to our service, which ends with the delivery of the goods at our warehouse.

If no confirmation is received within 24 hours, the order shall be deemed to have been completed, as per the amended order change notice. Unless otherwise agreed, delivery will be made to the address specified by the Customer in the order.

Collections at our warehouse are not accepted.

Pick-ups at our premises are always free of charge.

It is the sole responsibility of the recipient, on receipt of the goods, to check that:

1) The number of parcels corresponds to the number indicated in the transport document

2) The packaging is undamaged, not damaged, not wet, not opened.

3) Take delivery with reservation or clearly indicate on the delivery note, next to the signature, the following wording such as: "received with reservation for damaged package", "received with reservation for open package", "received with reservation for open package", "received with reservation for damaged package". received with reservation for wet parcel". If there is evidence of damaged goods, the package must be rejected. The above is essential to allow us to take action against the courier. The complaints, we remind you, must be contextual in order to avoid that the package is considered "correctly delivered".

The goods, once paid for and removed from our warehouse, are the property of the purchaser: they travel at the purchaser's risk. We therefore recommend that you choose the insurance included in the purchase procedure.

The goods, once paid for and collected from our warehouse, are the property of the buyer: they travel at the buyer's risk.

If the goods are returned, the shipping costs will not be refunded and the return costs will be charged to the sender.

5. EXAMINATION OF PRODUCTS, DELAYS AND NON-DELIVERY

The customer is obliged to examine the goods received accurately at the time of delivery and to inform F4Y in detail, within 3 (three) days from delivery, of any defects found - or that can be found - as a result of this examination, or to make any other complaint in relation to the products. In the event that the customer does not make the aforementioned communication, the articles will be considered definitively accepted and conforming to what was requested in the order. It is understood that the customer may refuse the delivery, by the carrier, of packages with damaged packaging and must, in this regard, immediately inform F4Y of the incident; otherwise, the goods delivered will be considered accepted in their entirety in the state in which they are at that moment.

6. TRANSFER OF RISK AND OWNERSHIP

The ownership of each product object of the sale is of F4Y until the full payment of the purchase price and all taxes, duties and contributions mentioned above and the delivery of the same product to the courier for shipment. The goods therefore travel at the risk and peril of the customer who is the owner, it being agreed that each shipment is carried out on behalf of the customer and that, therefore, F4Y is exonerated from any responsibility with the delivery of the same to the carrier or to the customer in the event that the latter decides to collect the goods personally or through an agent.

7. CONDITIONS OF SHIPPING AND WARRANTY

When you receive your package, you must check that it has not been tampered with in any way. If there are any signs of tampering, it is likely that the package has been opened during shipment and that the contents have been tampered with. Accepting a tampered package, and if you did not choose insurance at the time of purchase, means that you do not make a claim. Pursuant to Legislative Decree 22/5/1999 n. 185 and subsequent amendments, the goods travel at the risk of the recipient, so F4Y is not responsible for any theft or damage.

To take advantage of the guarantee on the items purchased, you must send an e-mail stating the order number, order date and the defect detected to info@flavors4you.com.

The warranty shall not apply in the event of tampering, partial consumption, negligence, carelessness in the use and maintenance of the product. Any non-conformity of the products must be reported within ten (10) days of receipt of the goods. The costs of returning the goods to the sender shall be borne by the Customer. Products that have been tampered with and/or opened will not be accepted and returned to the sender. The returned products must be packaged in a safe and reliable manner, no responsibility can be attributed to F4Y for any damage that the product may suffer due to insufficiently safe and protected packaging.

8. LIMITATION OF LIABILITY

All F4Y products are manufactured using only production methods that comply with the regulations in force.

The use of the products is left to the responsibility of the customers who undertake to respect the law by making an allowed use of them and, in the specific case of Retailers, to have the authorizations related to their activity for the resale of the products purchased from Flavors4you srl.

F4Y does not assume in any case any responsibility for the results obtained from the processing of such products. Similarly F4Y assumes no responsibility for damages of any kind (including damages for loss of profit, interruption of business, personal injury for any reason) that may result to third parties and/or customers as a result of the use, even if authorized, of the products sold by F4Y. All information divulged by any means or specifically contained in the documents published on the blendfeel.com website cannot imply any liability for F4Y, which will therefore not be responsible for any damage suffered by users and/or third parties. F4Y shall not be held responsible for any direct, indirect, incidental, special or consequential damage resulting from the use of the information, or from any manipulation of the site blendfeel.com carried out by the same third parties. F4Y informs that it may at any time, in total autonomy and at its own discretion, replace, add, modify and/or integrate the characteristics and descriptions of its products indicated both on its website and in any and all publications of a commercial or informative nature. Except as provided for by the regulations in force, F4Y does not recognize any warranty on its products sold, including implied warranties and commercial quality and fitness for specific purposes.

9. LIMITATIONS OF USE OF LIQUIDS FOR PERSONAL VAPORIZERS

Blendfeel, manufactures and sells flavours, raw materials, liquids for personal vaporizers, vaporization devices and accessories, intended for permitted uses and in compliance with current regulations. All products are offered for sale or prepared with ingredients and raw materials permitted by the European Community and in compliance with the rules specifically in force. All our preparations falling under the definition of Legislative Decree 6/2016 art. 2 let. s) have been notified to the Istituto Superiore di Sanità if classified as dangerous and also to the European portal defined EU-CEG. Liquid Inhalation Products (PLI) are classified at the Customs and Monopolies Agency (ADM), which has assigned them a unique PLI code.

It is specified that the inhalation or vaporisation of flavourings, although it is a practice assimilated to the olfactory perception in an open environment, has not been specifically tested, therefore possible unforeseen effects cannot be excluded. Blendfeel takes no responsibility for the use of its products when vaping with products used for vaping.

Personal vaporizer liquids, and in particular liquids containing nicotine, are not considered a food product and cannot and should not be ingested. Nicotine and nicotine salts are toxic substances. Nicotine is addictive and if swallowed or taken through skin contact, can cause discomfort, vomiting and nausea. Taking an oral or intravenous dose of pure nicotine can be fatal, so read the Safety Data Sheets (SDS) carefully to understand the risks and hand them over to your healthcare professional in the event of an accident.

Buying liquids containing nicotine is prohibited by law for people under 18 years of age. Adults who purchase nicotine-containing products declare their consent and are informed about the harmful and addictive properties of nicotine.

The use of products containing nicotine is not recommended for pregnant or breastfeeding women, people suffering from asthma, hypertension, diabetes, heart problems. If you experience any undesirable effects while using the liquid base, stop using it immediately and consult a doctor. We recommend the use of protective gloves when handling liquids containing nicotine.

Products containing glycerine should be consumed with caution by people with diabetic conditions as they may promote hyperglycaemia and glycosuria.

All liquids classified as hazardous under the CLP regulation are sold with a child-resistant cap and an embossed label for the visually impaired or blind.

It is strongly recommended that bottles are stored in a cool, dry place out of reach of children and pets and that devices (vaporizers) complying with current regulations are used for consumption.

10. PAYMENTS AND EXPRESS TERMINATION CLAUSE

Payments can be made in the following ways:

a) by bank transfer (Account number: 229670, BCC CREDITO COOPERATIVO MILANO FIL. PADERNO DUGNANO IBAN: IT 53A 08453 33520 000000229670 - BIC/SWIFT: ICRAITRRCLO;

b) by Satispay

c) by credit card through the NEXI service

d) by cash, within the limits allowed by the laws in force, only in the case of collection at the head office

The shipment of the goods, in the cases where the means of payment referred to in points a) and d) above are used, will take place only after the availability of the amounts due has been verified.

F4Y reserves the right to request payment in cash, within the limits permitted by the laws in force, or to propose other and different methods of payment.

Any payment conditions different from those mentioned above must be agreed in writing with F4Y, before the order is placed.

All payments will be made in favour of F4Y without any compensation, deduction or counterclaim by the customer. In the event of non-payment of the price owed by the customer, the contract of sale shall be deemed to be rescinded pursuant to and for the purposes of Article 1456 of the Civil Code.

Orders placed for which payment has not been made within 5 working days will be automatically cancelled.

11. VALUATION

Payments shall be made in Euros; other currencies may be agreed in writing between the parties, to the extent permitted by law.

12. RIGHT OF WITHDRAWAL

The Right of Withdrawal is regulated by the regulations in force on the date of the order. The customer has the right, within a period of 10 working days from receipt of the goods, to exercise the "Right of Withdrawal". This right consists in the right to return the purchased goods to the seller and the consequent refund of the purchase price. The right of withdrawal does not apply if one of the following conditions exists:

- Packs opened by the customer.

- Bottles with the guarantee seal not intact.

- Partially used products.

- Products damaged due to neglect by the customer.

How to make use of it: Send within the aforementioned period, by e-mail info@flavors4you.com or PEC flavors4youy@legalmail.it a written and signed declaration of your wish to exercise the right of withdrawal indicating the reasons. We will accept the return of any item, as long as it is in perfect condition, refunding the full amount (except for packaging and shipping costs, as required by Italian law). F4Y will, within 30 working days of receipt of the goods and after contacting the customer, credit the customer with the amount paid in the invoice, excluding shipping costs.

13. CANCELLATION OF ORDERS

Orders placed with payment in cash, within the limits allowed by the laws in force, or by credit card that cannot be fully processed on the basis of stock, will be partially cancelled and the relative sums refunded. Blendfeel reserves the right, at its sole discretion, not to do business with certain parties. F4Y also reserves the right not to accept or to cancel any orders, regardless of whether or not payment has been received, notifying the customer by fax, telephone or e-mail within 48 (forty-eight) hours (excluding Saturdays and public holidays) of receipt of the order. In the event that F4Y does not accept or cancels an order for which payment has already been made, F4Y will promptly refund the full amount received, according to the procedures that will be indicated to F4Y by the customer for this purpose. It remains, however, understood that the refund of the price represents the only charge to F4Y for the non-acceptance or cancellation of the order, being in this regard excluded any form of liability on the part of F4Y.

14. MAJOR FORCE

In the event that the execution of orders by Blendfeel is hindered or prevented by force majeure or unforeseeable circumstances, or by the impossibility of procuring the services, materials or articles necessary for the fulfilment of the order, except at increased prices, F4Y may delay the execution of the order and, in this case, notify the delay to the customer; the latter, within 3 (three) days from receipt of the communication from F4Y, shall have the right to cancel the order in whole or in part. In none of the aforementioned cases, F4Y can be held responsible for the delay.

15. TREATMENT OF PERSONAL DATA

F4Y proceeds to process the personal data of its customers in accordance with the provisions of the law, in the manner and for the purposes specified in the Privacy Policy published in our Privacy Policy

16. COMPETENT COURT
